Public Offer Agreement
Terms of Sale for Products on the Originall Parts Website
1. General Provisions
1.1. These Terms govern the conclusion and performance of contracts for the sale of products ordered through https://originall.parts/ (the “Website”).
1.2. The Seller is AXIO Enterprises Limited, Unit 225-11, 2/F, Mega Cube, 8 Wang Kwong Road, Kowloon Bay, Hong Kong (the “Seller”). Contact email: info@originall.parts.
1.3. The Buyer is an individual or legal entity placing an order. Any mandatory consumer rights applicable to the Buyer remain unaffected by these Terms.
1.4. The Website is used to search for and order automotive spare parts by part number entered by the Buyer. The terms of each order confirmed by the Seller form part of the contract.
1.5. Products may be dispatched from different countries by the Seller’s regional partners, which are independent legal entities. Such partners act as dispatchers and perform other agreed operations on the Seller’s behalf. AXIO Enterprises Limited remains the Seller under the contract with the Buyer in all cases. The Seller settles accounts with its regional partners independently.
2. Product Information and Parts Selection
2.1. The Buyer independently enters the part number, selects the product, and verifies that the selected part number meets the Buyer’s needs and is suitable for the intended vehicle.
2.2. The Website does not independently select parts based on a vehicle identification number (VIN) or vehicle specifications and does not guarantee that a part independently selected by the Buyer is compatible with any particular vehicle.
2.3. This provision does not release the Seller from liability for supplying products that conform to the agreed order, the accuracy of information provided by the Seller, product quality, or any other obligations imposed by applicable law.
2.4. Product images are provided for reference purposes. In the event of any discrepancy between an image and the confirmed product specifications in an order, the agreed specifications shall prevail, subject to mandatory legal requirements.
3. Orders and Contract Formation
3.1. The Buyer selects the products, quantities, and available payment and delivery options and submits an order through the Website or an agreed communication channel.
3.2. An order request submitted by the Buyer constitutes an offer to purchase the products on the stated terms. A contract is formed when the Seller sends confirmation accepting the order on the agreed essential terms, unless mandatory laws of the relevant country establish a different time of contract formation.
3.3. An automatic acknowledgement of receipt of an order request does not constitute confirmation of product availability, price, or acceptance of the order.
3.4. Before an order is confirmed, the following information shall be provided to or agreed with the Buyer: the part number and product description, quantity, total price and currency, applicable taxes and additional charges, available delivery options and their cost, estimated delivery time, country of dispatch, and import arrangements.
3.5. Changes to a confirmed order must be agreed upon by both parties. If the order cannot be fulfilled, the Seller shall notify the Buyer and offer either an agreed modification of the terms or a refund of payments received, in accordance with applicable mandatory legal requirements.
4. Prices and Payments
4.1. The product price, currency, delivery cost, and applicable mandatory charges shall be communicated to the Buyer before the order is accepted. A price displayed on the Website does not constitute confirmation of the final price where it is expressly identified as an estimate.
4.2. The Buyer may use only the payment methods actually offered for the relevant order, which may include Visa and Mastercard payment cards, PayPal, or bank transfer, subject to availability.
4.3. For bank transfers, payment is considered confirmed once the funds have been received and identified by the Seller or an authorized payment recipient. Any bank or intermediary bank charges shall be disclosed to the extent such information is known to the Seller.
4.4. Payment details and instructions shall be provided through the Seller’s verified communication channels or an authorized payment service provider. The Buyer should not transfer funds to payment details that have not been confirmed by the Seller.
4.5. Payment processing and refunds are governed by the applicable payment system rules and legislation.
5. Delivery and Regional Dispatch Partners
5.1. Products may be dispatched by the Seller or its authorized regional partners from the country where the products are physically located. The dispatching entity may differ from the Seller identified in the contract.
5.2. Available delivery methods, delivery times, costs, collection addresses, and carriers depend on the country, product, and particular order and shall be communicated before order confirmation or separately agreed with the Buyer.
5.3. Collection through a regional representative office or pickup location is available only where expressly offered for the particular order.
5.4. The country of dispatch, the party responsible for export and import formalities, and responsibility for customs duties, taxes, and other charges shall be determined for each order in accordance with applicable law.
5.5. The transfer of risk of accidental loss or damage, as well as confirmation of delivery, shall be determined by applicable law and the agreed terms. Terms applicable to legal entities shall not reduce mandatory consumer protections.
5.6. The Seller remains responsible to the Buyer for its contractual obligations regardless of whether a regional dispatch partner is involved.
6. Order Cancellation, Returns, and Claims
6.1. To request a change to or cancellation of an order, the Buyer shall contact the Seller using the contact details provided on the Website and specify the order number and details of the request.
6.2. Cancellation rights, return periods and conditions, allocation of expenses, and exceptions depend on the order status, type of product, and mandatory rules applicable in the Buyer’s country. Nothing in these Terms limits rights that cannot lawfully be excluded by contract.
6.3. If the part number, contents, quantity, or condition of the delivered product does not conform to the confirmed order, the Buyer shall notify the Seller and, where possible, provide supporting documents and photographs. Failure to provide photographs does not, by itself, extinguish the Buyer’s mandatory legal rights.
6.4. Returned products may be received by a regional partner designated by the Seller in accordance with the Seller’s instructions. The Seller nevertheless remains the party contractually responsible to the Buyer.
6.5. Refunds shall be made using an agreed and legally permitted method, in compliance with the mandatory time limits established by applicable law.
7. Product Quality and Warranties
7.1. The Seller shall provide product information and is responsible for product quality and conformity with the agreed order to the extent required by applicable law and the obligations undertaken.
7.2. Warranty periods and conditions shall be determined for each product, taking into account any confirmed manufacturer’s warranty, any separate warranty provided by the Seller, and the Buyer’s mandatory legal rights.
7.3. Certain products may be subject to usage restrictions or special handling requirements, which the Seller shall communicate when necessary.
8. Liability
8.1. The parties shall be liable for breaches of their contractual obligations in accordance with applicable law.
8.2. The Buyer is responsible for the accuracy of the part number entered and the contact information provided. This provision does not release the Seller from liability for supplying products that do not conform to the confirmed order or from any other obligations that cannot lawfully be excluded.
8.3. Nothing in these Terms excludes liability or a right to legal remedy where such exclusion is prohibited by mandatory provisions of law.
8.4. Events of force majeure and their consequences shall be assessed in accordance with applicable law. A party affected by substantial obstacles to performance shall notify the other party of such circumstances.
9. Personal Data
9.1. For the purposes of processing order requests, concluding contracts, and fulfilling contractual obligations, the Seller processes personal data provided by the Buyer to the extent necessary, including names, contact details, delivery addresses, and order and payment information.
9.2. Where necessary for contract performance, payment processing, delivery arrangements, regional dispatch, customer support, or compliance with legal obligations, the Seller may share the minimum necessary personal data with third parties, including payment service providers, carriers, regional dispatch partners, and authorized IT service providers.
9.3. When transferring personal data across borders, the Seller shall comply with applicable requirements concerning lawful grounds for processing, notices, data protection, and restrictions on international transfers.
9.4. Further information about personal data processing, data subjects’ rights, and methods of contacting the Seller is provided in the Privacy Policy published on the Website. The use of optional cookies is governed by the relevant policy and consent settings where required.
10. Information and Electronic Communications
10.1. Order confirmations, notifications, invoices, and other communications relating to order fulfillment may be sent through the Website, to the contact details agreed with the Buyer, or through other verified communication channels of the Seller.
10.2. Both parties shall promptly report any errors in payment details or other information material to order fulfillment.
11. Applicable Law and Dispute Resolution
11.1. The relationship between the parties shall be governed by the law specified in the confirmed terms of the relevant order or determined under applicable conflict-of-laws rules. Such choice of law shall not deprive consumers of any mandatory protections afforded by applicable legislation.
11.2. The parties shall seek to resolve disputes by contacting the Seller. If a dispute cannot be resolved, the competent court or other authority shall be determined in accordance with applicable mandatory rules. Nothing in these Terms restricts the Buyer’s rights that cannot lawfully be waived.
11.3. In the event of discrepancies between language versions, the interpretation of these Terms shall take into account applicable law, the contents of the confirmed order, and mandatory language requirements governing information provided to the Buyer.
12. Amendments to the Terms
12.1. The Seller may publish updated versions of these Terms on the Website. Updated Terms shall apply to future orders from the date of publication or a later effective date specified in the updated version.
12.2. Amendments to the published Terms shall not unilaterally alter contracts already concluded, except where expressly permitted by law or agreed between the parties.
